What Is the Difference Between a Trust Sale and a Probate Sale?

Title card for the article: What Is the Difference Between a Trust Sale and a Probate Sale?

The short answer

What is the difference between a trust sale and a probate sale in California? In a trust sale, the successor trustee sells the home under the trust's terms, usually without going to court. In a probate sale, the Orange County Superior Court appoints a personal representative, and depending on their authority, the sale may need a judge's confirmation and can be open to overbids. Which one applies depends on how the home was titled. A trust or probate attorney can confirm the path for your family.

Why Does It Matter Which Kind of Sale It Is?

When a parent passes away, the first question about the house is who has the legal authority to sell it. The answer shapes the paperwork, the timeline and how we market the home.

When a family is settling an estate, the first question is how the home was held, because a trust sale and a probate sale follow different steps.

How Do I Know Which One Applies?

It depends on how title was held when your loved one passed away. The Orange County Superior Court's self-help page explains that when a living trust holds title to property, that property passes to the beneficiaries without probate.

Property in the person's name alone, without a trust or another way to pass outside probate, often needs probate. Your attorney will review the deed, the trust or will and any other documents. If you're not sure, see do I need probate to sell an inherited house in California.

How Does a Trust Sale Work?

In a trust sale, the successor trustee steps in.

  • Authority. California Probate Code Section 16200 gives a trustee the powers in the trust document plus powers given by statute, unless the trust limits them. Section 16226 includes the power to sell property at a public or private sale.
  • Notice. When a trust becomes irrevocable because of a death, Probate Code Section 16061.7 requires the trustee to serve a notification on each beneficiary and heir within 60 days.
  • The sale itself. Once the trustee has authority, the home can usually be prepared, priced and sold much like any other sale, with the trustee signing as seller.

Trustees also have duties to the beneficiaries, like loyalty and keeping them reasonably informed. You can read more in selling a house in a trust in California and whether a trustee can sell without all beneficiaries agreeing.

How Does a Probate Sale Work?

In probate, the court appoints a personal representative, often called the executor or administrator. How the sale works depends on the authority the court grants.

  • Full authority under the Independent Administration of Estates Act. The representative can usually sell without a confirmation hearing. They give heirs a Notice of Proposed Action, and Probate Code Section 10586 requires it at least 15 days before the proposed action. If someone objects in time, Section 10589 says the sale must go forward under court supervision.
  • Limited authority, or a sale that needs court supervision. Probate Code Section 10308 says the sale must be reported to and confirmed by the court before title passes.

What Happens at a Court Confirmation?

At a confirmation hearing, the judge reviews the sale. Probate Code Section 10309 says a private sale generally can't be confirmed unless the price is at least 90% of the appraised value, using an appraisal made within one year before the hearing.

Other buyers can also overbid in court. Section 10311 says the first overbid must be at least 10% more on the first $10,000 of the original bid, plus 5% more on the amount above that. On a $1,000,000 accepted offer, that's a minimum first overbid of $1,050,500. For the full process, see court confirmation in a California probate sale.

How Do Timing and Privacy Compare?

A trust sale is usually more private and often moves faster, because there's no public court file for the sale itself. A probate sale follows the court's calendar, and a confirmation hearing adds time and the chance of an overbid.

Every family is different. I can't promise a closing date for either path, since buyers, lenders and the court are part of the process. What I can do is give you a written plan and keep it updated. Learn more on our trust sales and probate sales pages.

Frequently asked questions

Does a trust sale go through court?

Usually not. The Orange County Superior Court explains that property held in a living trust passes to the beneficiaries without probate, and the trustee's power to sell comes from the trust and the Probate Code.

Does every probate sale need a court hearing?

No. With full authority under the Independent Administration of Estates Act, a confirmation hearing is usually not needed unless someone objects to the Notice of Proposed Action in time.

Can other buyers outbid me in a probate sale?

In a court confirmation, yes. Probate Code Section 10311 sets the minimum first overbid.

What if the house was never put into the trust?

It may need probate or another court process. Your attorney can review the deed and trust.

Who should we talk to first?

A trust or probate attorney, to confirm who has authority to sell. Then we can plan the sale together.
